Simple Transfer Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Rambax, LLC (“Rambax,” “we,” “us,” or “our”) governing Simple Transfer on iPhone or iPad, the Simple Transfer Desktop application, the local browser interface, and the optional device-discovery service (collectively, “Simple Transfer”). By downloading, purchasing, accessing, or using Simple Transfer, you agree to these Terms.

1. Eligibility and Authority

You must have the legal capacity to enter into these Terms. If you use Simple Transfer for an organization, you represent that you are authorized to bind that organization. A parent or legal guardian is responsible for a minor’s permitted use.

2. License

Subject to these Terms and the applicable store’s usage rules, Rambax grants you a limited, revocable, non-exclusive, non-transferable license to install and use Simple Transfer for lawful personal or internal business purposes. The software is licensed, not sold. You may not copy, redistribute, sell, rent, sublicense, reverse engineer, circumvent access controls, or create derivative works except where applicable law expressly permits it.

Apple’s Standard Licensed Application End User License Agreement also applies to versions obtained from the App Store. If these Terms conflict with a mandatory store term or non-waivable consumer law, that mandatory term or law controls.

3. Your Media and Transfers

You retain ownership of your photos, videos, and other content. You grant Rambax only the limited rights needed to process information as described in the Simple Transfer Privacy Policy and to provide features you request.

You are responsible for selecting the correct source, destination, files, transfer options, and receiving device. You must have all rights and permissions necessary to access, copy, convert, delete, or transfer the content. You may not use Simple Transfer to infringe intellectual-property, privacy, publicity, or other rights or to transfer unlawful or harmful content.

4. Local Network and USB Operation

Simple Transfer depends on your devices, operating systems, cables, network, router, firewall, browser, and available storage. Compatibility, speed, discovery, and continuity are not guaranteed. You are responsible for using a trusted network, keeping displayed addresses and passcodes private, closing transfer access when finished, and preventing unauthorized people on the same network or computer from accessing your device.

USB operation may depend on Apple or Microsoft drivers and operating-system services outside Rambax’s control. Airplane mode, firewalls, security software, VPNs, managed-device policies, or network isolation may affect operation.

5. Device Discovery

The optional discovery service helps a browser locate your device by temporarily registering local connection information. It is a convenience feature, not an identity, authentication, security, backup, or file-hosting service. You remain responsible for confirming that you connect to the intended device and for protecting local access.

6. Conversion, Metadata, and Media Compatibility

Media conversion, including HEIC, HEVC, Live Photo, RAW, edited-media, filename, date, or metadata handling, can change file size, quality, format, components, names, timestamps, or metadata. Results can vary by device, OS, codec, library state, and destination software. Verify important files and metadata before deleting originals or relying on converted copies.

7. Deletion and Backups

Any delete, cleanup, or remove-after-transfer feature can permanently remove media, subject only to recovery options provided by the operating system or your backups. A successful transfer message does not replace your responsibility to open and verify the destination files. Maintain an independent, current backup before deleting or modifying important media. Rambax is not a backup provider.

8. Free Features, Purchases, and Subscriptions

Simple Transfer may provide limited free use and offer one-time purchases or subscriptions for additional features, limits, or services. The app displays the applicable price, billing period, renewal terms, and trial information before purchase. Features and limits may differ by platform, version, country, or purchase history.

Store purchases are processed by Apple or Microsoft and are subject to the store’s payment, family-sharing, cancellation, and refund rules. Recurring subscriptions renew unless canceled through the applicable store before renewal. Rambax cannot directly issue refunds for transactions controlled by a store. Restoring access may require the original store account, an Internet connection, and successful receipt validation.

9. Updates and Availability

We may update, add, remove, suspend, or discontinue features to improve security, reliability, compatibility, or the product. We do not guarantee that every feature will remain available on every device, operating system, browser, or legacy app version. You are responsible for installing supported updates and maintaining compatible hardware and software.

10. External Services

Simple Transfer may interact with app stores, operating-system services, drivers, browsers, email software, cloud infrastructure, or websites controlled by others. Their terms and privacy practices apply to their services. Rambax is not responsible for third-party services, content, security, availability, or decisions.

11. Prohibited Conduct

You may not:

• use Simple Transfer unlawfully or violate another person’s rights;
• probe, disrupt, overload, bypass, or interfere with the app, discovery service, security, or network operation;
• introduce malware or use automated means to abuse Rambax services;
• misrepresent ownership, purchase status, entitlement, identity, or device authorization; or
• use Simple Transfer to provide a competing hosted service without Rambax’s written permission.

12. Privacy

The Simple Transfer Privacy Policy explains how information is handled and is incorporated into these Terms.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE TRANSFER IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR ERROR-FREE OPERATION. Rambax does not warrant that transfers, conversions, discovery, purchase restoration, or deletion will always succeed or that Simple Transfer will prevent every loss, interruption, or unauthorized access. Non-waivable consumer warranties remain unaffected.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAMBAX AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, MEDIA, OR BACKUPS, ARISING FROM SIMPLE TRANSFER OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE. RAMBAX’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO SIMPLE TRANSFER WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID RAMBAX FOR SIMPLE TRANSFER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$50.

These limitations do not apply where prohibited by law, including to liability that cannot legally be excluded or limited.

15. Termination

You may stop using Simple Transfer at any time. We may suspend access to Rambax-operated services if you materially violate these Terms, create a security or legal risk, or abuse the services. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, and governing law.

16. Changes to These Terms

We may update these Terms to reflect changes in Simple Transfer, law, or our business. We will post the revised Terms and update the “Last updated” date. If a material change requires additional notice or consent, we will provide it as required by law.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except to the extent the laws of your residence provide mandatory consumer protections that apply. Nothing in these Terms limits rights or remedies you cannot waive under applicable law.
